Policy Overview

Welcome to QBClouds. This Privacy Policy and Terms & Conditions page explains the rules, responsibilities, limitations, and service policies that apply when you access or use our application hosting, cloud hosting, remote desktop, software hosting, or related support services.

By placing an order, activating an account, submitting a service request, or using any QBClouds-hosted environment, you agree that you are authorized to act on behalf of your organization and that you accept the terms described below.

Service Access Remote access, hosted applications, data, and cloud resources are provided according to your selected service plan.
Customer Data Customer data remains owned by the customer or billing entity responsible for the subscription.
Refund Terms Eligible customers may request a refund within the stated policy window after service activation.

1. Acceptance of Services

QBClouds provides application hosting and cloud-based access services to customers in accordance with the service order, subscription plan, or written agreement selected by the customer.

By using our services, you acknowledge and agree that:

  • QBClouds will provide access to hosted applications, data, and related cloud resources as described in your order.
  • You are responsible for paying all fees associated with the services you subscribe to.
  • Access to hosted applications is provided through internet connectivity, remote access tools, data center infrastructure, and supported software environments.
  • Any software applications made available to you may be provided by QBClouds, licensed by you, or otherwise included as part of your selected service plan.

QBClouds takes reasonable steps to maintain customer data in a secure hosted environment and restricts access to authorized users. However, you understand that hosted services may occasionally be affected by software issues, hardware failure, internet connectivity problems, cyber threats, maintenance events, natural disasters, or other circumstances outside reasonable control.

You agree that QBClouds will not be held liable for any losses or damages arising from interruptions, delays, access limitations, or service disruptions resulting from such events.

2. Service Access and Customer Responsibility

QBClouds grants customers remote access to hosted environments through inbound internet connectivity. This access may include customer data, hosted software applications, licensed applications, files, and supported business tools.

Customers are responsible for:

  • Maintaining valid internet connectivity.
  • Using the service only for lawful business purposes.
  • Protecting user login credentials.
  • Ensuring only authorized users access the hosted environment.
  • Providing accurate account, billing, licensing, and administrative information.
  • Following all applicable software licensing requirements.
  • Not installing or uploading unauthorized software, code, scripts, or executable files.

QBClouds may restrict, suspend, or interrupt access if we detect suspicious activity, unauthorized software installation, abusive usage, fraudulent behavior, or activity that may threaten the security or stability of our systems.

3. Term, Renewal, and Termination

Your service term begins on the date your user profiles, hosted environment, or service access is activated and made available for use.

Unless otherwise stated in your service order:

  • The initial service term is one month from the activation date.
  • Custom or private cloud services renew automatically every month.
  • Either party may terminate the service by providing written notice before the end of the current term.
  • Customers may request cancellation by sending written notice to the designated QBClouds billing or support contact.

If services are terminated by either the customer or QBClouds, customer data may be removed from active systems. Archived or backup data may be overwritten, deleted, or purged through normal backup and retention cycles.

At the time of termination, a customer may request temporary data retention for up to 7 days. Any request to search, restore, recover, or retrieve data from a terminated account may be subject to time-and-materials charges. Such requests will only be accepted from the previously authorized administrative contact listed on the customer account.

4. Billing, Charges, and Payment Terms

Customers agree to pay all charges listed in their service order, subscription plan, or written agreement.

Billing terms include:

  • Installation or setup fees, if applicable, are due when the order is submitted.
  • Monthly service charges are billed according to the selected plan.
  • Additional service charges are invoiced after the service is performed.
  • Invoices are due and payable upon receipt unless otherwise stated in writing.
  • All charges are exclusive of applicable taxes.
  • Customers are responsible for any taxes, duties, government fees, or similar charges related to the software, services, subscriptions, or agreement.

If payments are not made on time, QBClouds may apply a late fee or interest charge of 1.5% per day on overdue balances, where permitted by applicable law.

If charges remain unpaid:

  • After 10 days, QBClouds may restrict profile access to local drive resources or limit the customer's ability to offload data.
  • After 30 days, QBClouds may deactivate user accounts until outstanding balances are paid.
  • After 90 days, QBClouds may delete user profiles, associated data, and refer the account for collection or legal action.

QBClouds reserves the right to suspend or terminate services for unpaid subscriptions, overdue invoices, or payment-related violations.

5. Pricing Changes and Service Modifications

Customers may request additional software, services, users, applications, or cloud resources beyond the original order. These additions may be billed at the current pricing available at the time of request.

QBClouds may update service pricing by publishing revised pricing or notifying customers. Any revised pricing may become effective in the next monthly billing cycle unless otherwise stated in writing.

Changes to an existing user profile may be subject to a minimum service charge of $25 per event. User profile changes may include:

  • Changing applications assigned to a user profile.
  • Re-provisioning a profile.
  • Updating access due to a name change.
  • Modifying profile settings or application availability.

6. Service Availability

QBClouds aims to provide reliable access to hosted applications and data center services. Service availability depends on several factors, including customer internet connectivity, telecom provider performance, data center operations, network conditions, software behavior, maintenance requirements, and other technical factors.

Services are available when your equipment, internet connection, user credentials, and access method operate within supported network parameters.

QBClouds provides a 99.9% availability commitment for its data center and hosted application services. This commitment does not cover interruptions caused by public internet issues, customer-side connectivity problems, telecom provider outages, unsupported devices, unauthorized activity, force majeure events, or circumstances beyond QBClouds' reasonable control.

7. Customer Support

QBClouds is committed to helping customers access and manage their hosted environments. Support may be available through phone, email, live chat, remote assistance, or support tickets.

Our support team may assist with:

  • Hosted environment access issues.
  • User login and connectivity questions.
  • Migration and onboarding support.
  • Application hosting-related concerns.
  • User setup and configuration.
  • General cloud hosting assistance.

Support availability may vary depending on the service plan, issue type, and technical requirements.

8. Software Usage and Proprietary Rights

Customers acknowledge that software, documentation, service delivery processes, configurations, scripts, systems, and hosting methods used by QBClouds may include confidential, proprietary, or trade secret information.

Customers agree to:

  • Use hosted software only for their own internal business purposes.
  • Not copy, disclose, reverse-engineer, misuse, or distribute proprietary materials.
  • Not provide unauthorized third parties with access to hosted applications or service methods.
  • Protect software credentials, licensing details, and account access information.
  • Follow all applicable software license terms.

QBClouds may interrupt or restrict access without prior notice if we reasonably suspect fraudulent activity, abusive usage, unauthorized access, unauthorized software installation, security risks, or use that violates these terms.

Customers agree to cooperate with any investigation related to fraud, unauthorized use, security concerns, software installation, or suspicious activity. Failure to cooperate may result in the customer being held responsible for losses, damages, or fraudulent use associated with the account.

9. Unauthorized Software, Code, and System Use

Customers may not install, upload, run, or store executable programs, unauthorized software, scripts, or code on QBCloud's systems without prior written approval.

If QBClouds detects unauthorized software, code, or activity, we may:

  • Restrict access.
  • Suspend affected services.
  • Remove unauthorized files or programs.
  • Investigate the issue.
  • Require corrective action.
  • Hold the customer responsible for related damages, risks, or system impact.

Customers must use all reasonable prevention measures requested by QBClouds to protect the hosted environment from unauthorized activity.

10. Confidentiality

Both QBClouds and the customer agree to treat confidential information responsibly. Confidential information may include business data, account details, software configurations, customer files, system access details, financial records, user information, and proprietary materials.

Each party agrees to:

  • Protect confidential information using reasonable care.
  • Use confidential information only for purposes related to providing or using the services.
  • Limit disclosure to employees, contractors, or representatives who need access to perform responsibilities.
  • Avoid unauthorized sharing, copying, or misuse of confidential information.

Customer data remains the property of the customer or the billing entity responsible for the subscription.

11. Data Ownership and Administrative Control

The billing entity and administrative contact listed on the service order are considered authorized representatives for the customer account.

The billing entity is responsible for:

  • Financial approval of the services.
  • Managing account ownership.
  • Authorizing users.
  • Controlling access permissions.
  • Requesting data access, copies, changes, or recovery.
  • Approving account cancellation or service changes.

QBClouds will not provide access to customer data, copies of files, or account changes to unauthorized parties. Requests involving customer data must come from the designated administrative contact or another authorized representative approved in writing.

QBClouds cannot release, transfer, or disclose customer data to third parties unless instructed in writing by the authorized administrative contact, required by law, or necessary to protect systems, rights, property, or service integrity.

12. QuickBooks License Information

If your hosted environment includes QuickBooks software, you acknowledge that certain licensing information may need to be shared with Intuit for verification, tracking, or compliance purposes.

This information may include:

  • QuickBooks license keys.
  • License numbers.
  • Payroll keys or payroll-related license information.
  • Number of subscribed QuickBooks users.
  • Version or product information needed for verification.

You understand that Intuit is not a party to this agreement. Intuit is responsible only for the QuickBooks software itself and does not provide warranties or accept liability for QBCloud's hosting services, third-party services, support, infrastructure, or related hosting offerings.

Customers are responsible for maintaining valid and compliant software licenses.

13. Security and Encryption

QBClouds uses security measures designed to help protect hosted environments, user access, and customer data. These measures may include encryption, access controls, authentication tools, monitoring, backups, and secure infrastructure practices.

However, no system, internet connection, or method of electronic transmission can be guaranteed to be completely secure. While QBClouds uses reasonable safeguards, we cannot guarantee absolute security of customer connections, user devices, public internet routes, or third-party networks used to access the service.

Customers are responsible for keeping passwords secure, using approved devices, following security best practices, and promptly reporting suspected unauthorized access.

14. Monitoring, Access Restriction, and Disclosure

QBClouds may monitor systems, sessions, traffic, usage patterns, access activity, or hosted environments when reasonably necessary to:

  • Protect our systems, customers, rights, or property.
  • Investigate fraud, abuse, unauthorized access, or security threats.
  • Maintain service integrity.
  • Comply with legal obligations.
  • Enforce these terms.
  • Prevent harm to QBCloud's infrastructure or other customers.

QBClouds may restrict, suspend, or interrupt service without prior notice if continued access could pose a risk, cause damage, lead to unauthorized use, or expose security.

15. No Warranty

QBClouds provides services on an "as available" and "as is" basis unless otherwise stated in a written agreement.

To the fullest extent permitted by law, QBClouds disclaims all express and implied warranties, including but not limited to:

  • Merchantability.
  • Fitness for a particular purpose.
  • Uninterrupted service.
  • Error-free operation.
  • Compatibility with all customer systems.
  • Results expected from using the service.

No employee, representative, partner, or third party is authorized to make warranties on behalf of QBClouds unless provided in a written agreement signed by authorized representatives.

This warranty disclaimer survives termination of the agreement.

16. Limitation of Liability

To the fullest extent permitted by law, QBClouds will not be liable for indirect, incidental, special, consequential, punitive, or similar damages, including but not limited to:

  • Loss of data.
  • Loss of profits.
  • Loss of business opportunity.
  • Service interruption.
  • Loss caused by the inability to access the service.
  • Software failure.
  • Internet or telecom outages.
  • Unauthorized access beyond reasonable control.
  • Customer-side hardware, software, or network problems.

This limitation applies even if QBClouds has been advised of the possibility of such damages.

17. Subcontracting and Assignment

QBClouds may use subcontractors, vendors, infrastructure providers, or third-party service providers to deliver part of the services. The use of subcontractors does not relieve QBClouds of its service responsibilities under the applicable agreement.

Neither party may assign or transfer rights under the agreement without proper authorization, except in connection with a corporate reorganization, merger, acquisition, sale of substantially all assets, or transfer to an entity under common ownership or control.

18. Agreement Changes and Entire Agreement

These terms, together with any accepted order, service plan, written agreement, or applicable policy, represent the complete agreement between QBClouds and the customer regarding the services.

This agreement replaces prior discussions, proposals, understandings, or communications related to the same subject matter.

Any changes to these terms must be made in writing and approved by authorized representatives, unless QBClouds updates general website terms or service policies that apply to all customers.

19. Breach and Cure Period

Either party may terminate the agreement if the other party materially breaches its obligations.

If the breach can be corrected, the defaulting party will have 7 days from receipt of notice to cure the breach. If the breach cannot be corrected or is not corrected within the cure period, the non-breaching party may terminate the agreement.

20. Severability and Waiver

If any part of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Failure to enforce any term does not mean that term is waived. A waiver is only valid if it is in writing and signed by the authorized party granting it.

21. Cancellation and Refund Policy

QBClouds is committed to providing reliable hosting services and customer support. If our services do not meet your expectations, you may request a refund in accordance with the terms below.

15-Day Refund Window

Customers may request a full refund by submitting a written cancellation request within the first 15 days after service activation. This refund applies only to eligible services and is subject to QBClouds' refund policy.

Annual Subscription Plans

For annual subscription plans, cancellation is permitted only within the first 15 days after activation. After the initial 15-day period, the annual plan remains active for the full 12-month term and will end at the close of that term unless renewed.

To avoid renewal, customers must submit a written cancellation request at least 30 days before the renewal date.

If an account is canceled after a payment has already been processed, a $50 transaction and processing fee may be deducted from any applicable refund.

Monthly Subscription Plans

For monthly plans, customers should provide at least 15 days' written notice before the requested cancellation date. This allows time for account closure, billing review, data handling, and service deactivation.

Data After Cancellation

Customers are responsible for exporting or requesting access to their data before cancellation is completed. After termination, data may be deleted from active systems and later overwritten or removed from backup systems through normal retention cycles.

22. Customer Agreement

By placing an order, submitting a service request, activating a hosted environment, or using QBCloud's services, you confirm that:

  • You are authorized to act on behalf of your organization.
  • You agree to these Privacy Policy, Terms & Conditions.
  • You accept responsibility for payment, licensing, account usage, and user access.
  • You understand the service limitations, billing terms, cancellation rules, and data handling policies described above.
  • You agree to use QBCloud's services only in accordance with these terms and applicable laws.

If you do not agree with these terms, you should not place an order, activate services, or use QBClouds-hosted environments.
